Terms of Service Agreement

Welcome to Velvet Passport. These Terms of Service (“Terms”) govern your use of the App as a Business, Model, Influencer, or User. By accessing or using the App, you agree to comply with these Terms. If you do not agree, please do not use the App.

1. Definitions

  • “App”: Refers to [Your App Name], its services, and platform.
  • “Business”: A company or brand registered on the App to create and manage offers.
  • “Model/Influencer”: An approved user who claims offers and creates content as required.
  • “User”: Any individual or entity using the App.
  • “Offer”: A promotional opportunity created by a Business, outlining requirements for Models/Influencers.
  • “Content”: Any media (images, videos, text, etc.) posted by a Model/Influencer in fulfillment of an Offer.

2. Account Registration & Approval

  • Businesses, Models, and Influencers must create an account to use the App.
  • Models/Influencers must undergo an approval process before claiming Offers.
  • Users must provide accurate information and keep login credentials secure.

3. Offer Requirements & User Obligations

For Businesses:

  • Businesses may create Offers specifying content requirements (e.g., Instagram post, story, tagging).
  • Businesses retain the right to reuse or repost Content created by Models/Influencers in connection with the Offer.

For Models/Influencers:

  • When claiming an Offer, Models/Influencers must:
  • Follow all instructions provided by the Business.
  • Post and tag the Business on Instagram (or other required platforms).
  • Ensure the Business tag is clearly visible in the post/story.
  • Post the story within 24 hours of claiming the Offer.
  • Keep the Instagram story live for the full 24-hour duration.
  • Upload a saved copy of the story/post to the App for verification.
  • Be complimentary and professional in their Content.
  • By posting Content, Models/Influencers grant the Business a non-exclusive, royalty-free license to use, repost, and distribute the Content for promotional purposes.

4. Content Ownership & Licensing

  • Models/Influencers retain ownership of their Content but grant Businesses the right to use it as outlined in these Terms.
  • Businesses may not alter Content in a way that misrepresents the Model/Influencer without permission.
  • The App does not claim ownership of Content but may display it in connection with the service.

5. Prohibited Conduct

Users must not:

  • Post false, misleading, or offensive Content.
  • Misrepresent affiliation with a Business.
  • Use the App for illegal or fraudulent activities.
  • Violate Instagram’s (or any platform’s) terms when fulfilling Offers.

6. Termination & Suspension

  • The App reserves the right to suspend or terminate accounts for violations of these Terms.
  • Models/Influencers who fail to meet Offer requirements may face account restrictions.

7. Disclaimers & Limitation of Liability

  • The App is not responsible for disputes between Businesses and Models/Influencers.
  • The App does not guarantee the success or performance of any Offer.
  • Use of the App is at your own risk.

8. Modifications to Terms

The App may update these Terms at any time. Continued use constitutes acceptance of changes.

9. Governing Law

These Terms are governed by the laws of New York.
