Terms of Service Agreement<\/strong><\/h1>\n\n\n\n

Welcome to Velvet Passport. These Terms of Service (“Terms”) govern your use of the App as a Business, Model, Influencer, or User. By accessing or using the App, you agree to comply with these Terms. If you do not agree, please do not use the App.<\/p>\n\n\n\n

1. Definitions<\/strong><\/h2>\n\n\n\n
    \n
  • “App”<\/strong>: Refers to [Your App Name], its services, and platform.<\/li>\n\n\n\n
  • “Business”<\/strong>: A company or brand registered on the App to create and manage offers.<\/li>\n\n\n\n
  • “Model\/Influencer”<\/strong>: An approved user who claims offers and creates content as required.<\/li>\n\n\n\n
  • “User”<\/strong>: Any individual or entity using the App.<\/li>\n\n\n\n
  • “Offer”<\/strong>: A promotional opportunity created by a Business, outlining requirements for Models\/Influencers.<\/li>\n\n\n\n
  • “Content”<\/strong>: Any media (images, videos, text, etc.) posted by a Model\/Influencer in fulfillment of an Offer.<\/li>\n<\/ul>\n\n\n\n

    2. Account Registration & Approval<\/strong><\/h2>\n\n\n\n
      \n
    • Businesses, Models, and Influencers must create an account to use the App.<\/li>\n\n\n\n
    • Models\/Influencers must undergo an approval process before claiming Offers.<\/li>\n\n\n\n
    • Users must provide accurate information and keep login credentials secure.<\/li>\n<\/ul>\n\n\n\n

      3. Offer Requirements & User Obligations<\/strong><\/h2>\n\n\n\n

      For Businesses:<\/strong><\/h3>\n\n\n\n
        \n
      • Businesses may create Offers specifying content requirements (e.g., Instagram post, story, tagging).<\/li>\n\n\n\n
      • Businesses retain the right to reuse or repost Content created by Models\/Influencers in connection with the Offer.<\/li>\n<\/ul>\n\n\n\n

        For Models\/Influencers:<\/strong><\/h3>\n\n\n\n
          \n
        • When claiming an Offer, Models\/Influencers must:<\/li>\n\n\n\n
        • Follow all instructions provided by the Business.<\/li>\n\n\n\n
        • Post and tag the Business on Instagram (or other required platforms).<\/li>\n\n\n\n
        • Ensure the Business tag is clearly visible in the post\/story.<\/li>\n\n\n\n
        • Post the story within 24 hours of claiming the Offer.<\/li>\n\n\n\n
        • Keep the Instagram story live for the full 24-hour duration.<\/li>\n\n\n\n
        • Upload a saved copy of the story\/post to the App for verification.<\/li>\n\n\n\n
        • Be complimentary and professional in their Content.<\/li>\n\n\n\n
        • By posting Content, Models\/Influencers grant the Business a non-exclusive, royalty-free license to use, repost, and distribute the Content for promotional purposes.<\/li>\n<\/ul>\n\n\n\n

          4. Content Ownership & Licensing<\/strong><\/h2>\n\n\n\n
            \n
          • Models\/Influencers retain ownership of their Content but grant Businesses the right to use it as outlined in these Terms.<\/li>\n\n\n\n
          • Businesses may not alter Content in a way that misrepresents the Model\/Influencer without permission.<\/li>\n\n\n\n
          • The App does not claim ownership of Content but may display it in connection with the service.<\/li>\n<\/ul>\n\n\n\n

            5. Prohibited Conduct<\/strong><\/h2>\n\n\n\n

            Users must not:<\/p>\n\n\n\n

              \n
            • Post false, misleading, or offensive Content.<\/li>\n\n\n\n
            • Misrepresent affiliation with a Business.<\/li>\n\n\n\n
            • Use the App for illegal or fraudulent activities.<\/li>\n\n\n\n
            • Violate Instagram\u2019s (or any platform\u2019s) terms when fulfilling Offers.<\/li>\n<\/ul>\n\n\n\n

              6. Termination & Suspension<\/strong><\/h2>\n\n\n\n
                \n
              • The App reserves the right to suspend or terminate accounts for violations of these Terms.<\/li>\n\n\n\n
              • Models\/Influencers who fail to meet Offer requirements may face account restrictions.<\/li>\n<\/ul>\n\n\n\n

                7. Disclaimers & Limitation of Liability<\/strong><\/h2>\n\n\n\n
                  \n
                • The App is not responsible for disputes between Businesses and Models\/Influencers.<\/li>\n\n\n\n
                • The App does not guarantee the success or performance of any Offer.<\/li>\n\n\n\n
                • Use of the App is at your own risk.<\/li>\n<\/ul>\n\n\n\n

                  8. Modifications to Terms<\/strong><\/h2>\n\n\n\n

                  The App may update these Terms at any time. Continued use constitutes acceptance of changes.<\/p>\n\n\n\n

                  9. Governing Law<\/strong><\/h2>\n\n\n\n

                  These Terms are governed by the laws of New York.<\/p>\n\n\n\n
